Legal Associate (Advisor) – Mergers & Acquisitions / Investment Banking 📍 Location: Bangalore 🏢 Work Mode: Work from Office 🕒 Experience: 4+ Years About the Role: We are seeking a Legal Associate with strong expertise in Mergers & Acquisitions (M&A) and Investment Banking transactions to join our growing team in Bangalore. The ideal candidate will be responsible for providing comprehensive legal support for deal structuring, transaction documentation, due diligence, and regulatory compliance. This is a full-time, on-site role that offers an excellent opportunity to work closely with senior management, bankers, and external counsels on complex and high-impact transactions. Key Responsibilities: • Draft, review, and negotiate transaction documents including Share Purchase Agreements (SPA), Shareholders’ Agreements (SHA), Term Sheets, and NDAs. • Conduct legal due diligence for M&A and investment transactions. • Liaise with internal teams, financial advisors, and external legal counsels to ensure smooth transaction execution. • Advise on regulatory and compliance matters under Companies Act, FEMA, SEBI, and related corporate laws. • Support investment banking mandates with structuring and documentation. • Maintain accurate legal records, ensure adherence to timelines, and mitigate transaction risks. Requirements: • LLB from a reputed law school (LLM preferred but not mandatory). • 2–4 years of post-qualification experience in corporate law, M&A, or investment banking transactions. • Prior experience working with law firms or investment banking firms is an advantage. • Strong drafting, negotiation, and analytical skills. • Sound understanding of corporate, securities, and foreign exchange regulations. • Excellent communication and stakeholder management skills.
